Civic business terms of use
These terms apply when a business or other organisation uses the Civic website or Civic platform unless a separate written agreement or order form says otherwise.

1. Who we are
Civic is operated by Really Helpful Products Limited, company number 14704244, registered in England and Wales. Registered office: 84 Stanier Street, Newcastle under Lyme, ST5 2SY, United Kingdom.

2. Business use
Civic is intended for business, professional and organisational use. By creating an account, submitting an enquiry or using a Civic workspace on behalf of an organisation, you confirm that you have authority to do so.
If we enter into a separate order form, service agreement, statement of work or other written contract with your organisation, that document will take priority over these terms where there is a conflict.
3. What Civic does
Civic provides software, data, analysis and workflow support for public-sector commercial activity, including opportunity discovery, bid support, contract delivery, assurance, evidence and outcome verification.
Civic is a decision-support service. It is not a substitute for legal, procurement, financial, tax, regulatory or other professional advice. Civic does not guarantee that an opportunity is suitable, that a bid will win, that a contract will be renewed, or that a particular commercial outcome will occur.
4. AI-assisted analysis and public data
Civic can use artificial intelligence to extract, organise, summarise, compare and analyse information. AI-assisted outputs can contain errors, omissions or uncertainty. Material contractual, commercial or compliance decisions remain the responsibility of the user and should be checked against the underlying source material where appropriate.
Civic also uses public-sector and other public data sources. Public records can be incomplete, corrected after publication or interpreted differently by different organisations. We aim to preserve source context and make uncertainty visible, but we do not warrant that every public record or derived conclusion is complete or error-free.
5. Accounts and security
You must provide accurate account information, keep sign-in credentials secure and use Civic only through accounts and permissions made available to you. You are responsible for activity carried out through your account where that activity results from your failure to keep access credentials secure.
Tell us promptly if you believe an account has been compromised or access should be removed.
6. Your information and uploaded material
You retain ownership of material you or your organisation provide to Civic. You grant Really Helpful Products Limited the rights reasonably necessary to host, process, analyse and return that material for the purpose of providing, securing and supporting the Civic service.
You must have the right to provide information or documents you submit to Civic and must not knowingly upload unlawful material, malicious code, or information in breach of another person's confidentiality, privacy or intellectual-property rights.
Personal information is handled as described in the Civic Privacy Notice and, where applicable, the relevant customer data-processing terms.
7. Acceptable use
You must not use Civic to:
- break the law or facilitate unlawful activity;
- gain unauthorised access to Civic, another user's account or another organisation's information;
- interfere with the security, integrity or availability of the service;
- scrape, probe, reverse engineer or systematically extract Civic data or functionality except where expressly permitted by law or by us in writing;
- present AI-generated or incomplete material as verified fact where Civic indicates that it is uncertain, provisional or requires human confirmation;
- use CivicProof participant evidence as a solely automated basis for disciplinary, dismissal or other similarly significant decisions about an individual.
8. Intellectual property
Really Helpful Products Limited and its licensors own the Civic software, interface, workflows, models, prompts, analysis methods, branding and other product intellectual property, excluding customer material and third-party/public-source content.
Subject to these terms and any applicable paid-service agreement, we grant authorised users a limited, non-exclusive, non-transferable right to use Civic for their organisation's legitimate business purposes.
9. Confidentiality
Where Civic is used with non-public business information, each party must take reasonable steps to protect confidential information it receives from the other and use it only for the purpose for which it was disclosed, except where disclosure is required by law or the information is already lawfully public.
10. Third-party services and links
Civic relies on third-party infrastructure, data and technology providers and may link to third-party websites or records. We are not responsible for the availability, content or separate terms of third-party services that you choose to access outside Civic.
11. Service availability and changes
We aim to keep Civic available and reliable but do not promise uninterrupted or error-free operation. We may maintain, improve, replace or retire features where reasonably necessary for security, product development, legal compliance or service operation.
Where a paid customer agreement includes specific service levels, support commitments or notice requirements, those commitments take priority over this general section.
12. Suspension and termination
We may restrict or suspend access where reasonably necessary to protect security, investigate suspected misuse, comply with law, prevent material harm or deal with a serious breach of these terms. Paid-service termination rights are governed by the applicable order form or service agreement where one exists.
13. Liability
Nothing in these terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
Subject to the previous paragraph, Really Helpful Products Limited is not liable under these terms for loss of profit, revenue, business, anticipated savings, goodwill or any indirect or consequential loss arising from use of Civic.
Subject to the previous paragraphs and unless a separate written agreement sets a different limit, our total aggregate liability arising from use of Civic under these terms is limited to the fees paid by your organisation for the affected Civic service in the 12 months immediately before the event giving rise to the claim, or £100 where no fees were paid.

15. Changes to these terms
We may update these terms where reasonably necessary. The current version and update date will be published here. If a change materially affects a paid customer's contractual rights, the relevant customer agreement will govern any additional notice requirement.
16. Governing law
These terms and any non-contractual obligations arising from them are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, subject to any different dispute or jurisdiction provision in a separate written customer agreement.
